Terms and Conditions

Welcome to IT Specialist Meijer (here in after referred to as “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your use of our website https://itspecialistmeijer.nl/ (the “Site”) and the IT services we provide (the “Services”). By accessing or using our Site and Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Site or Services.

  1. Definitions

Client / You: Refers to the individual or entity using our Site and/or engaging our Services.

Services: Refers to the IT support, consulting, maintenance, and other related services offered by IT Specialist Meijer.

Site: Refers to our website located at https://itspecialistmeijer.nl/.

Agreement: Refers to these Terms and Conditions, along with any specific service agreements, quotations, or invoices issued by us and accepted by you.

  1. Acceptance of Terms

By accessing and using our Site or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

  1. Services Offered

IT Specialist Meijer provides a range of IT services. The specific scope, duration, and fees for any Services will be outlined in a separate written proposal, quotation, or service agreement provided to you, which will form part of the Agreement.

  1. Client Obligations

As a Client engaging our Services, you agree to:

Provide accurate, complete, and timely information required for the provision of Services.

Cooperate with us in a timely manner to facilitate the delivery of Services.

Ensure that any equipment, software, or network access provided to us for the purpose of delivering Services is safe, licensed, and does not infringe on any third-party rights.

Make timely payments for all Services rendered as per the agreed-upon terms.

Indemnify and hold us harmless from any claims, damages, or losses arising from your breach of these Terms or any illegal or unauthorized use of our Services.

  1. Fees and Payment

Pricing: Fees for our Services will be clearly stated in the individual proposals, quotations, or service agreements provided to you.

Invoicing: Invoices will be issued as per the agreed-upon payment schedule (e.g., upfront, monthly, upon completion).

Payment Terms: Payment is due within 14 days from the invoice date, unless otherwise specified in writing.

Late Payments: In the event of late payment, we reserve the right to charge statutory interest on the overdue amount as per Dutch law, and suspend or terminate Services until payment is received.

Taxes: All fees are exclusive of applicable taxes (VAT/BTW), unless expressly stated otherwise.

  1. Limitation of Liability

General: To the fullest extent permitted by Dutch law, IT Specialist Meijer shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, goodwill, or other intangible losses, resulting from:

Your access to or use of, or inability to access or use, the Site or Services.

Any conduct or content of any third party on the Site or using the Services.

Any content obtained from the Site or Services.

Unauthorized access, use, or alteration of your transmissions or content.

Service-Specific: While we take reasonable care in providing our IT Services, we cannot guarantee uninterrupted or error-free operation of your IT systems. You acknowledge that IT issues can be complex and unpredictable.

Maximum Liability: In no event shall our total liability to you for all damages, losses, and causes of action (whether in contract, tort, or otherwise) exceed the amount paid by you for the specific Service giving rise to the claim in the six months immediately preceding the date of the claim.

Exclusions: We are not liable for damages caused by circumstances beyond our reasonable control (force majeure), including but not limited to, natural disasters, governmental acts, power outages, or cyberattacks.

  1. Intellectual Property

Our Content: All content on the Site, including text, graphics, logos, images, software, and the compilation thereof, is the property of IT Specialist Meijer or its suppliers and protected by Dutch and international copyright and intellectual property laws.

Client Data: Any data, information, or materials you provide to us for the purpose of the Services remain your property. You grant us a non-exclusive, royalty-free license to use such data solely for the purpose of providing the Services.

Software and Tools: Any software, tools, or methodologies we use or develop during the provision of Services remain our intellectual property, unless otherwise agreed in a separate written contract.

  1. Confidentiality

We will treat all information provided by you in connection with the Services as confidential, and we will not disclose it to third parties unless required by law or with your explicit consent. This obligation does not apply to information that is publicly available, already known to us, or independently developed by us.

  1. Termination

By You: You may terminate your use of the Site at any time. For Services, termination terms will be outlined in your specific service agreement.

By Us: We may terminate or suspend your access to the Site and/or Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Effect of Termination: Upon termination, your right to use the Site and Services will immediately cease. Any outstanding payments for Services rendered up to the termination date will remain due.

  1. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, the Site, or the Services shall be submitted to the exclusive jurisdiction of the competent courts in Amsterdam.

  1. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Site or Services after the effective date of the revised Terms constitutes your acceptance of the new Terms.

  1. Miscellaneous

Entire Agreement: These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and IT Specialist Meijer regarding the use of the Site and Services.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
